The Salem Law Group, P.A.'s lobbying group understands and appreciates the complexities of the legislative and budgetary processes, and collectively has the expertise to adapt to achieve the desired end-result.

Many times, the beginning strategy developed with the client needs to be modified at different levels along the way; this means drawing upon numerous congressional and administrative contacts and utilizing creativity and experience to get the job done. In addition to Salem Law Group, P.A.'s lobbying efforts both locally and nationally, we represent various public entities in different capacities. For example, as general counsel for the St. Petersburg Housing Authority, we draw on our experience in Administrative Law, Landlord-Tenant issues, Employment Law, Procurement Law, Real Estate Law, Commercial Litigation, and Construction Law, Board of Commissioner's meetings as needed, and represent or defend local governmental bodies or special districts in claims litigation.

Civil Litigation

The Salem Law Group, P.A. is able to assist businesses and individuals with commercial and business matters including contract drafting, interpretation and enforcement, general commercial litigation, collections, employment matters, general liability and insurance coverage, premises liability, general business torts (such as interference with contractual or business relationships), and many other types of litigation involving sales, warranties and business transactions. Often times, prevention is the best way to deal with business or commercial disputes; and, towards that end, the Firm can provide a comprehensive review of policies and practices to identify and correct potential problems and to ensure compliance with all appropriate laws, rules and regulations.

The Firm also handles litigation arising from commercial construction, as well as claims involving construction professionals, such as engineers and contractors. In addition, we can assist with land use and zoning disputes and litigation involving neighborhood, homeowners' and condominium associations.

Eminent Domain

The Salem Law Group, P.A. represents a broad range of clients in connection with the taking of real property through the exercise of eminent domain. We represent both private and commercial landowner clients in defending against government condemnation actions and maximizing compensation. Some of the areas of experience we have in eminent domain matters are: pre-litigation dispute resolution, inverse condemnation, jury trials, environmental, orders of taking, apportionment proceedings, zoning and land use planning, and representation of government entities.

Wills, Trusts & Estate Planning

Estate planning allows people to provide direction about the disposition of their assets after their death. Estate planning may include wills and trusts, as well as powers of attorney and health care directives. Both state and federal laws impact estate planning and some may find that more elaborate or creative legal means are necessary for their situation. The Salem Law Group, P.A.'s approach toward estate planning is to review the assets of our clients. We then advise on the type of Wills and/or Trusts they should have for tax purposes. We explain the use of and prepare Durable Powers of Attorney, Healthcare Surrogates, and Living Wills. We also help clients decide on the distribution of their assets and choice of Guardians, Trustees and Personal Representatives. We then suggest the way assets should be coordinated with the estate planning to minimize taxes and to avoid or reduce probate and estate administration expenses. We also prepare any changes in beneficiary designations and ownership of assets upon which our clients agree to be consistent with tax and estate planning. Due to changes in the law and the circumstances of clients we recommend that our client's estate planning be reviewed every three to five years.

Our firm also handles in Probate and Estate Administration. Probate is the legal process by which a person's debts are paid and assets are distributed upon her or his death. Estate Administration includes the probate process as well as non-probate transfers of the deceased's assets. Individual state laws direct the probate court how to distribute the deceased's estate. State laws and procedures vary greatly, so, it is important to consult a firm with expertise in this area of the law to ensure that the deceased's assets are distributed correctly.

Real Property

The Salem Law Group, P.A. has experience handling a variety of real property transactions and litigation. This includes purchase and sale, closings, mortgages, deeds, title insurance, construction and development loans, secured transactions, and leases. Members of Salem Law Group, P.A. are licensed by The Fund, a title insurance company and can assist with the purchase of real property from the beginning to the end.

Corporate Details

We provide a wide variety of services to our business clients from preparation of agreements, sale and purchase of businesses, obtaining financing and funding for business operations to dissolution. We pursue and defend a range of commercial litigation and contract disputes including business and real estate purchase/sale agreements, vendor/customer agreements, construction and construction management agreements, employment and shareholder agreements, non-compete, non solicitation, and non-disclosure agreements for employers and employees.

The form of business chosen for a business entity potentially affects every aspect of its operations. Our firm assists our clients in formation and business planning in deciding whether to operate as a closely held business, limited liability company, partnership, corporation or other entity. We advise our clients about directors' and officers' liability, dissolution, franchising, reorganization, trade association membership and activity, joint ventures, mergers, acquisitions, divestitures, business successions, and shareholders' rights.
